DISPUTE RESOLUTION
Informal Negotiations:
In the event of any dispute, controversy, or claim arising from these Terms of Use (“Dispute”) between you and us, we agree to first attempt to resolve the Dispute through informal negotiations. Either Party may initiate such negotiations by providing written notice to the other Party. The negotiations will commence upon receipt of the notice.
Binding Arbitration:
If the Parties are unable to resolve the Dispute through informal negotiations, any unresolved Dispute (except those excluded below) shall be exclusively resolved through binding arbitration. By agreeing to arbitration, you understand that you are waiving your right to sue in court and have a jury trial. The arbitrator’s decision will be final and binding, and the arbitrator must follow applicable law. The Parties may litigate in court only to enforce the arbitration award.
If for any reason a Dispute proceeds in court rather than arbitration, both Parties consent to the jurisdiction of the state and federal courts located in Michigan and waive any defenses related to jurisdiction or venue. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) do not apply to these Terms of Use.
We reserve the right to modify, remove, or update the Site’s content at our discretion. We are not responsible for any interruptions, delays, or errors in accessing the Site. In the event of a dispute, we encourage informal negotiations, and if unresolved, the dispute will be resolved through binding arbitration.
Restrictions
The Parties acknowledge and agree that any arbitration shall be limited to the Dispute between the Parties individually. The following restrictions apply:
(a) No arbitration shall be joined with any other proceeding. (b) There is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures. (c) There is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.
Exceptions to Informal Negotiations and Arbitration
The Parties understand and agree that certain Disputes are not subject to the provisions concerning informal negotiations and binding arbitration. These exceptions include:
(a) Disputes seeking to enforce or protect the intellectual property rights of a Party. (b) Disputes related to allegations of theft, piracy, invasion of privacy, or unauthorized use. (c) Claims for injunctive relief.
If any provision of this section is found to be illegal or unenforceable, it will not affect the enforceability of the remaining provisions, and the Dispute falling within the invalid or unenforceable provision shall be decided by a court of competent jurisdiction.
CORRECTIONS
The Site may contain typographical errors, inaccuracies, or omissions in the information provided, such as descriptions, pricing, availability, and other details. We reserve the right to correct any such errors, inaccuracies, or omissions and to change or update the information on the Site at any time, without prior notice.
